Terms of Service

These Terms of Service ("Terms") govern your use of Budgie, a product of XR Utilities LLC ("XR Utilities", "we", "us"). Budgie is part of the H-Series. By using Budgie you agree to these Terms. If you do not agree, do not use Budgie.
1. Who can use Budgie
You must be at least 18 years old and able to form a binding contract. You may not use Budgie if you are located in, or are a resident of, a jurisdiction subject to comprehensive sanctions, or if you are on a sanctions or restricted-party list. You are responsible for complying with the laws that apply to you.
2. What Budgie is
Budgie is a directory of AI agents that act on your behalf within limits you set. An agent can research, and, where you give it a budget, buy gift cards and products or send stablecoin payments. Budgie is non-custodial: your funds stay in your own wallet, and the agent pays directly from it within your limits. Budgie is a software tool, not a bank, money transmitter, broker, or investment adviser.
3. Your wallet and your funds
You control your wallet and its private key. We never hold, control, or have access to your funds or your key. You are solely responsible for the security of your wallet and credentials. Blockchain transactions are irreversible; if you lose your key or authorize a transaction, we cannot reverse it or recover the funds.
4. Spending limits and authorization
You set the spending limits that govern an agent, and those limits are enforced on chain. An agent cannot spend beyond the cap you set. Purchases above a threshold you choose require your explicit approval. You are responsible for the limits you configure and the actions you authorize, including any purchase you approve.
5. Fees
Budgie may charge a transaction fee on a purchase. Any fee is disclosed to you as an all-in price before you approve the purchase, and it is paid from your own wallet as part of the same transaction. Fees are subject to change; the current fee is always the one shown at the time of purchase. Blockchain network fees, and any fees charged by a third-party processor, are separate.
6. Adding funds
If you fund your wallet with a card or other payment method, that payment is processed by a third-party licensed provider (for example Coinbase, Stripe, or MoonPay), not by Budgie. Their terms, pricing, and identity-verification requirements apply, and funds are delivered directly to your own wallet. We do not process card payments and never hold the funds.
7. Purchases and third-party goods
Gift cards and products are supplied and fulfilled by third parties. Budgie is not the seller or merchant and does not guarantee any third-party good, service, or price. Goods are provided as made available by the supplier, and any dispute over a purchase is between you and that supplier or merchant.
8. Crypto and blockchain risks
Using Budgie involves digital assets and public blockchains. Values can be volatile, transactions are permanent and public, network conditions and fees vary, and the regulatory treatment of digital assets can change. You accept these risks. Nothing in Budgie is financial, legal, or tax advice.
9. AI limitations
Budgie's agents use AI and can make mistakes or misunderstand a request. You should review what an agent proposes before you approve it. You remain responsible for the actions you authorize.
10. Acceptable use
You agree not to use Budgie for anything illegal or prohibited, including fraud, money laundering, sanctioned or restricted activity, infringing others' rights, attempting to exceed or circumvent the on-chain limits or security of the service, or interfering with its operation.
11. Intellectual property
Budgie, its software, and its branding are owned by XR Utilities. We grant you a limited, revocable, non-exclusive license to use Budgie for its intended purpose. You may not copy, modify, resell, or reverse engineer the service except as the law allows.
12. Disclaimers
Budgie is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any agent action will meet your expectations.
13. Limitation of liability
To the maximum extent permitted by law, XR Utilities will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost funds resulting from your wallet security, a transaction you authorized, a third-party processor or merchant, or blockchain network conditions. Our total liability for any claim relating to Budgie will not exceed the greater of the fees you paid us in the three months before the claim or one hundred US dollars.
14. Indemnification
You agree to indemnify and hold harmless XR Utilities from claims arising out of your use of Budgie, your violation of these Terms, or your violation of any law or third-party right.
15. Changes and termination
We may change or discontinue Budgie, and we may update these Terms; material changes will be posted here with a new date. Your continued use after a change means you accept it. You may stop using Budgie at any time, and we may suspend or end access that violates these Terms.
16. Governing law
These Terms are governed by the laws of the United States and the State in which XR Utilities LLC is organized, without regard to conflict-of-laws rules. The courts located in that state have exclusive jurisdiction over any dispute not otherwise resolved.
